Terms of Service

1. Acceptance of Terms

By accessing or using Poster ("the Service"), operated by Poster Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Poster is a social media content calendar and management platform that enables teams to plan, collaborate on, and schedule social media content across multiple platforms. The Service includes workspace management, content creation tools, team collaboration features, and an API for programmatic access.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Data Ownership

You retain all rights to the content you upload, create, or manage through the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service. We do not claim ownership of Your Content and will not use it for any purpose other than operating the Service.

Upon account deletion, we will remove Your Content within 90 days, subject to our data retention policy described in our Privacy Policy.

5. Subscription Plans & Billing

The Service offers Free, Pro, and Team subscription tiers. Paid subscriptions are billed monthly or annually as selected during checkout. Prices are subject to change with 30 days' notice. Refunds are available within 14 days of initial purchase or renewal if you have not used the Service during that period.

6. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the Free tier. Your data will be preserved and accessible on the Free tier, subject to Free tier limits.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that infringes third-party intellectual property rights
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to access the Service beyond the provided API
  • Interfere with the proper working of the Service
  • Exceed the usage limits of your subscription plan

8. API Usage

Access to the Poster API is governed by these Terms and the API rate limits associated with your subscription plan. API keys must be kept confidential and may be revoked if misused. We reserve the right to throttle or suspend API access that degrades the Service for other users.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSTER INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Poster Inc. from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.
